Terms of Service

Sigma Engine LTD — British Virgin Islands

By accessing or using the Sigma Engine platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform.

1. Company Information​

Sigma Engine LTD is a company incorporated in the British Virgin Islands ("BVI"). The Platform is operated by Sigma Engine LTD and its affiliates (collectively, "Sigma Engine", "we", "us", or "our").

2. Eligibility​

By using the Platform, you represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction).
  • You are not a citizen, resident, or person located in any Restricted Jurisdiction (defined below).
  • You are not a citizen or resident of any jurisdiction where use of decentralized protocols, cryptocurrency, or DeFi-related services is prohibited or materially restricted by law.
  • You are not subject to any sanctions administered or enforced by the United States (OFAC), the European Union, the United Kingdom, the United Nations, or any other applicable authority.
  • You are not listed on any sanctions list, including but not limited to the OFAC Specially Designated Nationals (SDN) List, the EU Consolidated Sanctions List, or the UN Security Council Sanctions List.
  • You have the legal capacity to enter into these Terms and are not restricted from doing so by any applicable law or regulation.
  • You are acting solely on your own behalf and not as an agent or representative of any other person or entity.

Restricted Jurisdictions​

The Platform is not available to persons located in, incorporated in, or citizens of the following jurisdictions ("Restricted Jurisdictions"):

  • North Korea (DPRK)
  • Iran
  • Syria
  • Cuba
  • Russia
  • Belarus
  • Crimea, Donetsk, and Luhansk regions of Ukraine
  • Myanmar (Burma)
  • South Sudan
  • Sudan

This list may be updated at any time to reflect changes in international sanctions or regulatory requirements. Additionally, the Platform is not available in any jurisdiction where the use of cryptocurrency, DeFi protocols, or automated trading software is prohibited or materially restricted by applicable law, even if not named above.

It is your sole responsibility to determine whether your use of the Platform is lawful in your jurisdiction. Sigma Engine makes no representation that the Platform is appropriate or available for use in any particular location.

3. Nature of the Platform​

Sigma Engine provides automated trading software that interacts with third-party decentralized exchanges ("DEXes") on behalf of users. You acknowledge and agree that:

  • Sigma Engine is a software platform, not a broker, exchange, or financial advisor.
  • When using bots, all trading occurs on third-party DEXes through your own wallet and exchange credentials. Sigma Engine does not hold or custody your funds during bot operation.
  • When using the Sigma Vault (if and when available), deposited funds are managed by Sigma Engine's trading infrastructure on your behalf. Vault deposits are subject to the terms outlined in the Sigma Vault section of these Terms. The Vault is not a bank, savings product, or investment fund, and deposited funds are at risk.
  • We do not provide investment advice, financial planning, or recommendations of any kind. All information presented on the Platform is for informational purposes only.
  • Past performance displayed on the Platform is not indicative of future results and should not be relied upon when making any decision.

4. User Responsibilities​

You are solely responsible for:

  • Securing your wallet credentials, private keys, API keys, and session tokens. Sigma Engine is not liable for any loss resulting from compromised credentials.
  • Understanding the risks of cryptocurrency trading, including but not limited to market volatility, smart contract risk, liquidation risk, and exchange counterparty risk.
  • Ensuring compliance with all applicable laws and regulations in your jurisdiction.
  • Monitoring your bot activity and positions. Automated systems may malfunction, experience latency, or behave unexpectedly.
  • Any tax obligations arising from your use of the Platform.

Third-Party Exchange Compliance​

By connecting to any third-party exchange through the Platform and running bots on that exchange, you represent and warrant that you have read, understood, and are in full compliance with that exchange's terms of service, acceptable use policy, and any other applicable rules or guidelines. Sigma Engine is not responsible for verifying your compliance with third-party exchange terms. If your use of automated trading software violates any third-party exchange's policies, you bear sole responsibility for any consequences, including but not limited to account suspension, loss of funds, or legal action by the exchange.

5. No Guarantees​

The Platform and all associated services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. Without limitation:

  • There is no guarantee that any bot, strategy, or configuration will generate profits.
  • There is no guarantee of uptime, availability, or uninterrupted service.
  • There is no guarantee that the Platform or any feature will continue to exist or operate.
  • There is no guarantee regarding the accuracy, completeness, or timeliness of any data, signal, or metric displayed on the Platform.

6. Fees​

Sigma Engine may charge fees for use of the Platform, including but not limited to trading fees, entry fees, and management fees. Fee schedules are published on the Platform and may be changed at any time with reasonable notice. By using the Platform, you agree to pay all applicable fees.

7. Sigma Vault​

If and when the Sigma Vault feature becomes available, you acknowledge that:

  • Deposits into the Vault are subject to a lockup period as specified at the time of deposit.
  • Vault returns are variable and depend entirely on trading performance. No minimum return is guaranteed.
  • Early withdrawal may result in forfeiture of accrued yield.
  • The Vault is not a bank account, savings product, investment fund, or securities offering.
  • Sigma Engine does not guarantee the safety of deposited assets. Smart contract risk, exchange risk, and market risk apply.

8. Points Programme​

The Points Programme, including referral codes and associated benefits, is offered at the sole discretion of Sigma Engine. Points:

  • Have no cash value and are non-transferable.
  • Do not represent any ownership, equity, security, or financial interest in Sigma Engine or any affiliated entity.
  • May be modified, suspended, or discontinued at any time without notice.
  • Do not entitle holders to any specific outcome, reward, distribution, or benefit.

9. Intellectual Property​

All software, algorithms, strategies, documentation, and content on the Platform are the proprietary property of Sigma Engine LTD. You may not:

  • Reverse engineer, decompile, or disassemble any part of the Platform.
  • Copy, reproduce, or redistribute any proprietary content, algorithms, or trading strategies.
  • Attempt to access unauthorized areas of the Platform, including administrative interfaces.
  • Scrape, crawl, or programmatically extract data from the Platform beyond the documented API.

Violation of this section may result in immediate termination of access and pursuit of legal remedies.

10. Prohibited Conduct​

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law.
  • Attempt to manipulate markets, engage in wash trading, or conduct any form of market abuse.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Platform or its infrastructure.
  • Use the Platform to launder money or finance terrorism.
  • Create multiple accounts to circumvent rate limits, fee structures, or access controls.
  • Share, resell, or sublicense access to the Platform without written authorization.

11. Limitation of Liability​

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIGMA ENGINE LTD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

  • LOSS OF FUNDS, PROFITS, OR DATA ARISING FROM USE OF THE PLATFORM.
  • TRADING LOSSES, INCLUDING THOSE CAUSED BY BOT MALFUNCTION, LATENCY, OR CONFIGURATION ERRORS.
  • LOSSES CAUSED BY THIRD-PARTY EXCHANGE OUTAGES, SMART CONTRACT FAILURES, OR BLOCKCHAIN NETWORK ISSUES.
  • LOSSES CAUSED BY UNAUTHORIZED ACCESS TO YOUR ACCOUNTS OR CREDENTIALS.
  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND.

YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK AND EXPENSE.

12. Indemnification​

You agree to indemnify, defend, and hold harmless Sigma Engine LTD and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination​

Sigma Engine reserves the right to suspend or terminate your access to the Platform at any time, for any reason, with or without notice. Upon termination, your right to use the Platform ceases immediately. Sections 5, 11, 12, and 14 survive termination.

14. Governing Law and Dispute Resolution​

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands.

15. Amendments​

Sigma Engine reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform. Continued use of the Platform after any modification constitutes acceptance of the updated Terms.

16. Severability​

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
